NANJING AUTOMOBILE (GROUP) CORPORATION
331 ZHONGYANG ROAD, NANJING 210037, CHINA TEL: (025)83432417 FAX: (025) 83417873

Comprehensive Planning & Start-up of MG Project by Nanjing Automobile

A Letter to Dealers of former MG Rover by NAC

NAC is one of the earliest established automobile manufacturers in China, whose products cover vehicle products such as passenger cars, trucks, buses etc., parts such as transmission, steering gear, clutch, brake gear, front axle, rear axle, water tank, vehicle instrument etc. as well as other areas such as iron foundry, aluminium foundry and tooling etc. With the development of globalization in auto industry, NAC has established joint venture companies with Fiat Auto and Iveco in Nanjing, engaged in the production of passenger cars and light duty buses, as well as more than ten parts manufacturing joint venture companies with some internationally renowned parts manufacturers such as Valeo, Lear, Brembo and so on. Up till now, NAC has, through its wholly owned subsidiaries and the joint venture companies in which it is a party, produced a series of products with fairly good reputation in the market of China, such as Yuejin brand trucks, Fiat brand passenger cars and Iveco brand light duty buses.

It is a significant step taken by NAC in its global strategy to acquire the assets of MG Rover and Powertrain Ltd (MG Assets).

In light of the requirements for the further development of auto industry in China and that of the world as a whole, it has become the development trend of Chinese auto enterprise to extend the business out of China, to carry out independent development and to forge independent brands. After its successful acquisition of MG Assets, NAC is now undertaking the overall planning of MG project, of which, some part is already underway for implementation.

NAC has now decided to establish production bases of MG project at both Longbridge and Nanjing. On one hand, the production of some products with rather high cost if produced in the U. K., such as engine, transmission and medium and low end vehicle products, will be transferred to China, where a mature supply chain with low cost will be set up step by step. On the other hand, with part of production facility retained in the U.K., the original Longbridge site will be integrated to resume the production of MG-TF sport car and part of high end products (including ZT and ZT-T). Meanwhile, by making full use of the prominent R & D capability and human resources in the U.K. as well as that of China, the Euro ? engines and a new generation of vehicles will be developed and then produced in both China and the U.K. in the near future. Then, the sales network of China established by NAC and the global sales network of the former MG Rover can be used to meet the demand of various markets in China, Britain, Europe and North America.

Through the implementation of this strategy, NAC will be able to promote its own brand image, cultivate independent development capability, establish global sourcing platform and sales network and develop two strategic production bases, which will, by making full use of acquired MG assets, giving full play to the advantages of China and Britain and sharing the development cost of new products between two sites, launch to the global market MG brand products characterized with market orientation, high technology and competitiveness, thus eventually achieving the strategic goal of MG project in China and the U.K. as a whole.

Currently, NAC is in the process of making detailed plan for the strategy implementation in the U.K. and China and has taken steps on some important strategic issues such as Longbridge Site integration and Euro ? engines development. On the other hand, NAC is also actively seeking for strategic partner aiming to operate the business in the U.K. by means of joint venture.

In the strategic plan made by NAC, Nanjing and Longbridge are indispensable to each other. Without the successful business in China, the supply chain and finished products with low cost will be impossible; While the sustaining and enhancing of the market share and MG brand in the U.K. and Europe will be totally contingent upon the success of the business in the U.K. Therefore, it is a key point in the global strategic plan of NAC to re-establish a new sales network based on the original one of former MG Rover.

In the current plan, the production will be resumed in the Longbridge plant at the beginning of 2007, when MG-TF, MG-ZT and MG-ZT-T will appear on the market again through sales network in the U.K. and Europe. The products to be re-launched into the market will preserve the original British style, reliable and stable quality and robust power, and be sold with MG brands. Meanwhile, some other products like MG-ZS and MG-ZR will be produced by the company in China and then supplied to the market of China and that of the U.K. and Europe as well.

We believe, the global sales network of former MG Rover is actually a valuable treasure, and to make full use of this treasure is a key factor for the success of NAC in MG project.

On one hand, we appreciate the good faith and support of each dealer towards the former MG Rover, on the other hand, we really hope that when the models like MG TF is re-launched into the market, a renewed cooperative relationship would have already been established between the dealers and NAC. Before MG products are launched into the market again, we will try to maintain MG brand and sales network and promote the communication with you, sharing with you information like our progress in products modification and development.

Granted, it will take some time to integrate the Longbridge site and restart the production there, but we are firmly confident on our strategic plan, on the dealers of former MG Rover, and on a brilliant future where such cooperation will be desirable.

Austin-Healey: Neuer Markeninhaber

It looks as if MG Rover is lost

By John Cranage, Automotive Correspondent

Chinese company Nanging Automobile's plans for Longbridge remain unclear four months after it bought the remains of MG Rover out of administration for £53 million.

David Malpass of Accelerate, the Birminghambased motor industry support organisation, yesterday gave an update on the position at Longbridge to more than 100 delegates at a conference organised by Black Country Chamber and Business Link.

"The Nanjing position is uncertain," Mr Malpass said.

"We have had a declaration that, yes, they will invest at Longbridge. But to this end the Government is taking a bit of a reserved view and are waiting to see where and when this investment will take place.

"We are not expecting an immediate announcement," he added.

However, delegates also heard automotive industry guru Garel Rhys of Cardiff University Business School express scepticism about the resumption of car production at Longbridge following MG Rover's collapse in April this year.

"It looks as if MG Rover is lost," Prof Rhys said.

"With every day that passes it is becoming more and more difficult for anything to come back to Longbridge."

The comments by Mr Malpass and Prof Rhys followed unconfirmed reports that Nanjing has struck a deal with GB Sports Car Company, the company set up by Fraser Welford-Winton, the former managing director of Rover's Powertrain engine plant, to resume production of sports cars under the Austin Healy brand.

The conference, staged at Wolverhampton Science Park under the title "Moving up a Gear", was aimed at convincing local supply chain companies that they have a good future despite the gloom surrounding the crash of MG Rover.

John Reader, chief operating officer at Black Country Chamber and Business Link, said the area was still "at the heart of British manufacturing".

Following the collapse of MG Rover, a total of £870,000 had been spent on helping nearly 50 Longbridge supply companies in the area diversify and find new customers and 142 jobs had been secured, he added.

Dave Allen, production and purchasing director of Jaguar, Land Rover and Aston Martin, and John Forster, senior purchasing manager at Toyota UK, told delegates that there was still a place for locally-based supply chain companies.

But companies wanting to continue to trade with the carmakers needed to become more innovative and help their customers to drive down costs.

Mr Allen said: "There is no doubt there will be consolidation but for those companies lucky enough to be part of that the future is going to be very bright."

MG Rover Talks

A former bidder for MG Rover has approached the car manufacturer's new owners with proposals for future co-operation. The approach to Nanjing Automative has been made by Professor Krish Bhaskar, who led the unsuccessful Triple A bid for MG Rover earlier this year.

Professor Bhaskar has the support of American Arabian Investment & Development Holdings, Inc (AMAR) which has funds of up to €1 billion to finance the project.

"I have approached Nanjing Automotive with a view to exploring opportunities to redevelop sustainable car production at the Longbridge site," said Professor Bhaskar. "Nanjing and their UK partners have already stated that should car production resume at Longbridge, it will be on a significantly smaller scale than before.

"It makes sense to examine the feasibility of acquiring assets at Longbridge which do not form part of Nanjing's plans for the site, and possibly the sharing of core production facilities. In the event that car production will not prove possible at Longbridge, then we would be prepared to consider an either an existing facility or a new greenfield site in the West Midlands."

Professor Bhaskar added that "the UK is a great place to design, engineer and manufacturer cars as Nanjing will soon find out. The Longbridge workforce in particular has proven itself especially flexible and adaptable. Problems that have occurred are largely due to the uncertainties that surrounded the business and poor management."

Son of MG turns a profit

MG Sport & Racing, the specialist cars division of MG Rover and separately owned by the Phoenix Four until it went into administration last May, appears to have been trading healthily since its parent's collapse.

A report seen recently by Autocar suggests that since Phoenix lost control, the company has sold cars — mostly MG SVs — and components worth £520,000. And despite the fact that the administrators appear to have met unpaid bills worth around £650,000 since May, the division has apparently ended its troubled year with modest earnings of £118,000.

MG Sport & Racing has modern premises just outside the MG Rover compound at Longbridge, and remains in administration because it was not included in Nanjing Automotive's recent purchase of the main MGR business from the administrators.

Nanjing, which recently announced that it has begun to entertain approaches from British suitors other than its former favourite, GB Sports Cars, is believed to be determined to find a partner who can re-start Longbridge production of the MG ZT saloon as well as the MG TF. GB Sports is understood to be keen on solely making the TF, and to have negotiated supplies of suitable engines (believed to be Audi units) that comply with the Euro 4 emissions standards introduced at the end of this year.

Rover's light but venerable K-series, whose manufacturing plant and design rights are in the process of being transported to a new Nanjing plant in China, complies only with outgoing Euro 3 standards.

Longbridge 'has gone'

By John Duckers, Business Editor

Any attempt by Chinese group Nanjing to re-start car making at Longbridge would be " commercial nonsense", Lord Bhattacharyya warned yesterday.

He did not believe it had either the money or the commitment despite claims to the contrary.

And, even if somehow it could persuade enough people to "stump up" the cash everyone else was producing " wonderful cars" in an industry which was riddled with over-capacity.

"Very few people are making any money," he cautioned.

Nanjing, which bought much of the remains of MG Rover off the receiver, has claimed it does intend to produce new models in the UK even though it will concentrate capacity in China - large amounts of tooling have already been shipped out to the Far East amidst accusations of a lift and shift operation.

But Lord Bhattacharyya, director of Warwick Manufacturing Group and an adviser to the Government, said everyone should now accept Longbridge had gone.

Far better, he suggested, to get behind what remained of the Midlands car industry, particularly Land Rover and Jaguar, while encouraging as many high tech initiatives as possible to settle on a redeveloped centre in south west Birmingham.

"It is important we support Land Rover and Jaguar and make sure they succeed," he insisted.

Land Rover was extremely profitable and "second to none" as a 4x4 producer. Jaguar was, he accepted, going through "some hiccups". But it had a strong model line-up in the pipeline and would bounce back.

"Forget wishful thinking," he urged, effectively rejecting the chances of Nanjing and its erstwhile partner GB Sports making anything of Longbridge.

Describing the possibility of that happening as "remote", he said the emphasis now had to be to get a high tech park properly up and running on the site.

And even if some of the massive centre ended up in retail or leisure use, then it was still creating employment.

Stressing the positives, and echoing the words of Trade and Industry Secretary Alan Johnson, who in Birmingham this week voiced his scepticism about Nanjing's plans, Lord Bhattacharyya highlighted Midlands manufacturing winners like digger maker JCB.

In a special interview with The Birmingham Post, he praised the Government for its financial contribution to regeneration via cash injection into regional development agency Advantage West Midlands and its retraining push.

"Quite a lot of MG Rover workers are now in jobs," he noted. "It has not been the catastrophe some people thought it might be."

After all, 20-30,000 jobs had gone at Longbridge in the Nineties and the regional economy had managed to assimilate them. Suppliers had been encouraged to diversify.

"There is a lot of good news for the Midlands," he claimed.

One such area was the interest of one-time MG Rover partner Tata in establishing a new research centre in the UK, with the eventual prospect of thousands of new jobs.

The Indian conglomerate already has a link-up with Warwick Manufacturing Group.

There has been talk that the project could go to the Coventry area.

Lord Bhattacharyya revealed that competition was hot, with the French, Germans, Spanish, Scots and Welsh all courting Tata.

But the hope is that the cultural and ethnic mix in the West Midlands, coupled with its skills and engineering base, will prove decisive.

"If they were to come it would be tremendous for the region, " said Lord Bhattacharyya.

Nanjing to miss deadline for MG Rover revival plan

By Michael Smith

LONDON (Reuters) - Chinese carmaker Nanjing Automobile will miss its year-end deadline to finalise plans for reviving production at the site of former British carmaker MG Rover, sources familiar with the situation said on Friday.

Nanjing was still searching for financial backers and a new management team despite forecasts it made two-and-a-half months ago that final plans to revive car production would be announced by year-end, a source said.

Nanjing made some progress last month when it signed a memorandum of understanding (MOU) to sell the Austin-Healy brand to partner GB Sports Car but there was still a lot of work to do.

"The MOU is just another step along the way rather than fixing anything in concrete. The business plan needs to be fully sorted," one source familiar with the situation told Reuters.

Nanjing, which bought the assets of the former iconic British carmaker after its collapse in April, said in September it planned to revive production at the Longbridge plant by 2007 and create 1,200 jobs at the site.

Nanjing vice-president Wang Qiu Jing said in a statement on September27 it expected to complete a combined business plan with its partners in two to three months and it would issue a statement once finalised.

Nanjing has declined to comment since September amid fears a deal may fall through.

"I think we have moved from a position of scepticism towards one of pessimism," an industry source said.

MG Rover collapsed under debts of 1.4 billion pounds in April this year, resulting in 5,000 job losses when the British carmaker's production plant closed.

MG Rover's administrators chose Nanjing over rival Chinese carmaker Shanghai Automotive Corp. (SAIC) in July to pay for the assets of MG Rover.

British unions backed the SAIC bid at the time as they believed it provided greater certainty of resuming production and creating jobs at the plant.

Nanjing was also working on ensuring engine technology at Longbridge was updated to meet European engine emissions standards, a source said.

A spokesman for GB Sports was not immediately available for comment.

Nochmals was weniger Offizielles:

China's Future For MG Rover

Nanjing Automobile, which bought MG Rover for £54 million in July this year, is complimenting dealers and importers and asking them to be patient in the run-up to production restarting at Longbridge. "We believe the global sales network of former MG Rover is a valuable treasure," the company says in a leaked letter, "and to make full use of this treasure is a key factor for the success of Nanjing in the MG project."

But kind words are one thing, and a complete lack of cars to sell is something else again. Nanjing intends to bring both the MG TF sports car and the Rover 75-based ZT saloon back to market, but the best estimate for these cars being built is early 2007.

This may put dealers in an impossible situation. "How do you hang on until they're producing cars?" asks Alan Pulham, former director of the National Franchised Dealer Association. "Nanjing will have to find a new network."

Richard Cort, President of the UK MG Rover Dealers' Council, agrees that his members should add other brands to their line-up, but says he is optimistic about MG Rover's future on the basis of meetings he has attended with Nanjing since the takeover. "The discussions were positive, and there was what I would call a semi-proposal," he says.

There is, however, something else to consider. The TF and the ZT were already old designs by the time MG Rover collapsed earlier this year. Will there still be a market for them two years further on?

Revealed: Missing MGs

The truth is finally out - MG Rover was considering a brand new Midget. What's more, the company was working on the project until late last year.

This collection of 'missing MGs' is revealed by MG Rover's former design chief Peter Stevens on a website that celebrates his work.

The site also includes pictures and videos of other cars he has contributed to, such as the McLaren F1 supercar and Subaru Impreza.

"These images show work that we did in the MG Rover studio last year," said Stevens. "The little blue sports car was part of a plan for a new MG Midget, to be possibly based on the centre section of the TF's platform."

And Stevens confirmed it wasn't just the Midget that the maker was interested in: "The big silver car was an update for the TF itself," he told us.

Auto Express can also now reveal that MG was not the only marque in the Longbridge firm's sights. The company was actively developing ideas for the Austin-Healey badge.

"The two Healey sketches were part of some much more speculative stuff we were doing for a front-engined roadster," the design guru added. "Despite rumour to the contrary, it never progressed beyond the drawing stage."

Stevens plans to expand his website at www.peterstevensdesign.co.uk and add more information about MG Rover and his other offbeat projects. "We've got some great video footage we would like to add," he said. "It includes some stuff on tractor racing which has to be seen to be believed!"
